Ramotion, Inc. Terms of Service

These Terms of Service ("Terms") constitute a binding agreement between you ("Client") and Ramotion, Inc., a corporation registered in Nevada and operating under a business license in California ("Ramotion," "we," "our," or "us"). By purchasing a branding and design package ("Service Package") via Stripe, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Eligibility
You must be at least 18 years old to enter into this agreement. By agreeing to these Terms, you confirm that you meet this age requirement.
2. Scope of Work
Details of each Service Package, including deliverables, design stages, revision limits, file formats, and deadlines, are specified within the Stripe product description. By purchasing, you agree to the scope and terms outlined in that specific package.
3. Payment Terms
- The total fee for the Service Package is split into two parts: a 50% deposit due at the start of the project and 50% due before final delivery.
- The initial deposit includes a non-refundable amount of $5,000. If the project is cancelled by the Client within the first business week, Ramotion will retain this $5,000 as a cancellation fee.
- If the Client cancels after one full business week, the entire deposit becomesnon-refundable.
- Ramotion reserves the right to refund the entire amount prior to project commencement, should we choose to cancel the project on our end.
- All payments are to be made via Stripe (credit card, ACH, SEPA, Bank Transfer, Apple Pay). Taxes and fees are included in the listed price.
4. Client Responsibilities
By engaging our services, you agree to:
- Be available and responsive within a 48-hour window during the entire project duration.
- Ensure that you or a designated decision-maker is available for direct communication throughout the process.
- Provide necessary feedback and approvals to avoid delays.
Failure to respond within 48 hours may result in timeline delays, for which Ramotion is not responsible. If the Client becomes unresponsive for more than 7 calendar days without prior notice, Ramotion may terminate the project and retain up to 100% of the deposit.
5. No Project Freezing
Project timelines cannot be paused or frozen once the work has begun.
6. Revisions
Each stage of the design process includes up to two rounds of revisions. Any additional revisions are subject to additional fees, which will be communicated and agreed upon before proceeding.
7. Final Delivery
Details regarding the final deliverables (file formats, assets, etc.) are outlined in the specific package description in Stripe. Final files will be delivered upon full payment.
8. Intellectual Property
Ownership of the final deliverables transfers to the Client upon full payment. Until payment is received in full, all designs and related materials remain the intellectual property of Ramotion.
9. Portfolio and Marketing Use
Ramotion retains the right to display completed work in our portfolio and use it for marketing purposes, unless otherwise agreed upon in writing.
10. Confidentiality
Ramotion agrees to keep all proprietary information provided by the Client confidential. This includes business strategy, internal documents, and other non-public materials. This confidentiality clause does not override Ramotion's right to showcase final work in portfolios or advertising.
11. Cancellation Policy
- If the Client cancels the project within one business week of commencement, a $5,000 fee applies.
- If the Client cancels after one full business week, the entire deposit becomes non-refundable.
- Ramotion may cancel the project at any time before commencement and issue a full refund.
12. Limitation of Liability
To the maximum extent permitted by law, Ramotionʼs liability shall not exceed the total amount paid by the Client for the Service Package.
13. Jurisdiction and Dispute Resolution
This agreement shall be governed by the laws of the State of California. Any disputes shall be resolved through binding arbitration in California, in accordance with the rules of the American Arbitration Association AAA. Each party will bear its own costs.
14. Modifications to These Terms
Ramotion reserves the right to modify these Terms at any time. Any changes will be effective immediately upon posting. Clients will be notified of any material changes via the email provided at the time of purchase or by updated terms shown on our website.
15. Agreement and Acceptance
